1. Acceptance of Terms

By engaging with Business Solutions Personified, LLC. for any of our bookkeeping, accounting, advisory, or related financial services, whether through a signed agreement, online onboarding, verbal communication, or continued use of our services you acknowledge that you have read, understood, and agreed to be legally bound by the Terms and Conditions set forth in this document.

This includes, but is not limited to:

  • Scope of services

  • Client responsibilities

  • Confidentiality obligations

  • Payment terms and fees

  • Limitations of liability

  • Dispute resolution

  • Termination clauses

 

If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind the entity to these terms. If you do not agree with any part of these Terms and Conditions, you should not use, access, or engage our services.

Your continued use of our services constitutes ongoing acceptance of any updates or modifications to these Terms and Conditions, which may be revised from time to time. We recommend reviewing this section periodically to stay informed of your rights and obligations.

2. Services Provided

We offer a comprehensive suite of professional bookkeeping, accounting, and financial reporting services designed to support individuals, entrepreneurs, startups, and small businesses in managing their finances with clarity, accuracy, and confidence.

Our services are performed virtually, using secure cloud-based systems that allow for efficient communication, document sharing, and real-time financial updates, regardless of your location. We utilize industry-standard platforms such as QuickBooks Online, Xero, and other accounting and document management tools to streamline workflows and ensure accurate, up-to-date financial records.

Our core services include, but are not limited to:

  • Bookkeeping: Categorizing and recording transactions, reconciling bank and credit card accounts, tracking expenses, and maintaining general ledgers.

  • Accounting: Preparation and review of financial statements, accrual adjustments, budgeting, and cash flow analysis.

  • Financial Reporting: Generation of profit and loss statements, balance sheets, cash flow reports, and customized performance summaries.

  • Payroll Services: Processing employee payments, handling deductions, filing payroll taxes, and managing year-end reporting (e.g., W-2, 1099).

  • Accounts Payable/Receivable Management: Managing invoices, vendor payments, customer billing, and collections.

  • Advisory Services: Strategic guidance on pricing models, business growth planning, cost reduction, and financial decision-making.

  • Tax-Ready Financials: Organizing and maintaining your books in preparation for annual tax filings (Note: actual tax return preparation may require a separate agreement or referral).

 

Service Tiers

We offer flexible service packages to meet varying needs and business sizes:

  • Essential Tier – Ideal for startups or solopreneurs

    • Basic transaction categorization and bank reconciliation

    • Monthly reports (P&L and balance sheet)

    • Email support

  • Growth Tier – Designed for growing businesses

    • Includes Essential services

    • Payroll processing (up to X employees)

    • Accounts receivable/payable tracking

    • Quarterly review and advisory call

  • Strategic Tier – Full-service for established businesses

    • Includes Growth services

    • Advanced budgeting and forecasting

    • Monthly financial strategy sessions

    • Custom dashboard and KPI tracking

    • Dedicated account manager

 

Custom packages may also be developed upon request to accommodate specific business models or industries.

 

Scope of Work

The specific services, deliverables, frequency, and pricing for your account will be defined in a formal Service Agreement or Engagement Letter prior to the start of services. This document will outline:

  • What’s included and excluded

  • Billing frequency and payment terms

  • Client obligations

  • Communication expectations

  • Duration of engagement

Services outside the defined scope may be subject to additional fees and will require written approval.

 

3. Client Responsibilities

As a client of Business Solutions Personified, LLC. you acknowledge and agree to fulfill the following responsibilities in order to ensure the accuracy, efficiency, and success of the services provided:

Provide Accurate, Complete, and Timely Financial Information

You agree to furnish all relevant financial information, records, and documentation necessary for us to perform bookkeeping, accounting, tax, or advisory services. This includes, but is not limited to:

  • Bank statements, receipts, invoices, and payroll reports

  • Tax documents and previous filings

  • Loan agreements, asset records, and financial statements

  • Any additional documentation reasonably requested to complete your services

 

You confirm that the information provided is true, accurate, and complete to the best of your knowledge, and that you will promptly notify us of any errors, omissions, or updates.

 

Timely Communication and Responsiveness

You agree to respond to emails, phone calls, or document requests in a timely and professional manner. Delays in communication may impact our ability to meet deadlines or fulfill regulatory requirements on your behalf.

In cases where deadlines apply such as for tax filings, compliance submissions, or financial reporting, you understand that your timely cooperation is essential and directly impacts our ability to deliver accurate, complete, and timely service.

 

Disclosure of Relevant Changes

You agree to inform us as soon as reasonably possible of any changes that may affect your financial records, reporting obligations, or business structure. This includes, but is not limited to:

  • New bank accounts, credit lines, or vendors

  • Changes in ownership, partnerships, or key personnel

  • Adjustments to payroll, employee benefits, or tax elections

  • Receipt of IRS/state notices or audits

  • Business expansion, restructuring, or dissolution

 

Failure to disclose such changes may result in misstatements, errors, or missed filings, for which we cannot be held responsible.

 

Accountability for Consequences of Omission

You acknowledge that our ability to provide high-quality and compliant services is dependent on your cooperation and the integrity of the information you provide. Failure to meet these responsibilities including delays, incomplete data, or non-responsiveness may result in:

  • Inaccurate financial statements or reports

  • Missed filing deadlines, penalties, or interest charges

  • Suspension or termination of services

  • Additional service fees due to rework, rush filings, or follow-ups

 

We are not liable for any adverse consequences, inaccuracies, or delays resulting from your failure to fulfill the obligations outlined in this section.

 

4. Fees and Payment Terms
  • Fees are based on the agreed service package or hourly rate as outlined in your service agreement.

  • Invoices are issued [monthly/bi-weekly/upon project completion] and are due within [e.g., 7, 14, or 30] days.

  • Late payments may incur a late fee of [e.g., 1.5%] per month.

 

We reserve the right to suspend or terminate services for non-payment.

 

5. Confidentiality

Both Business Solutions Personified, LLC. and the Client agree to maintain strict confidentiality regarding any non-public, proprietary, or sensitive information shared in the course of the professional relationship.

This includes but is not limited to:

  • Financial records and reports

  • Business plans and strategies

  • Tax filings and identification numbers

  • Payroll data and employee information

  • Any other personal or business information designated as confidential

 

Confidential information shall not be disclosed to any third party without prior written consent from the disclosing party, except:

  • To employees, contractors, or affiliates on a need-to-know basis, who are bound by similar confidentiality obligations

  • When required by law, court order, or regulatory authority

 

Business Solutions Personified, LLC. will take reasonable measures to safeguard client data through secure storage, encrypted communications, and restricted access protocols.

 

This confidentiality obligation shall survive the termination of services and remain in effect for a period of five (5) years from the date of termination, unless otherwise required by law or professional standards.

 

6. Record Retention

We retain copies of financial records and documents related to services rendered for a period of [e.g., 7 years], unless otherwise requested or agreed upon.

 

7. Limitation of Liability

To the maximum extent permitted by law, Business Solutions Personified, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to the use of our services or website.

 

Our total liability, whether in contract, tort, negligence, or otherwise, shall not exceed the total fees paid by the Client for the services rendered in the three (3) months preceding the event giving rise to the claim.

 

We are not liable for:

  • Errors resulting from inaccurate, incomplete, or delayed information provided by the Client

  • Regulatory penalties, tax liabilities, or financial losses incurred as a result of the Client’s failure to follow professional or legal advice

  • Delays or interruptions in service due to third-party software, systems, or circumstances beyond our reasonable control

 

The Client acknowledges and agrees that they are solely responsible for all decisions made based on financial reports, recommendations, or materials provided by Business Solutions Personified, LLC.

 

8. Termination of Services

Either party may terminate the engagement at any time, for any reason, by providing written notice to the other party with at least 14 days notice.

 

Upon termination:

  • The Client agrees to pay all outstanding fees for services rendered up to the termination date.

  • The Service Provider will return or securely destroy all client documents and data upon written request, provided that all payments have been made in full.

  • Any prepaid fees for unrendered services will be refunded at the discretion of the Service Provider, minus any applicable administrative fees.

 

The Service Provider reserves the right to terminate services immediately and without prior notice under the following circumstances:

  • Non-payment or repeated late payment by the Client

  • Failure to provide necessary documentation or cooperation

  • Suspicion of fraudulent or illegal activity

  • Breach of any terms outlined in this agreement

 

Termination does not release either party from obligations incurred prior to the termination date, including confidentiality, payment obligations, or legal compliance.

 

9. Revisions and Updates

These Terms and Conditions may be updated from time to time. Changes will be effective upon posting to our website or upon notice to the client.

 

10. Applicable Law

This Agreement and any dispute arising out of or in connection with the services provided shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

 

Both parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada for the resolution of any legal disputes. By engaging our services, you consent to the venue and jurisdiction of these courts and waive any objection to such forum.

 

Nothing in this section shall limit the right of Business Solutions Personified, LLC, to seek injunctive or equitable relief in any jurisdiction as necessary to protect its confidential information or enforce intellectual property rights.
